Terms of Use

These terms are the agreement between you and LetsChop for using xta. We have kept them short and plain. Please read them, especially the parts about AI drafts and funding.

In short

  • Your content stays yours. We only use it to run xta for you.
  • AI drafts can be wrong. Check every answer before you send it to a funder.
  • We help you apply. We can’t promise you will get funded, and we don’t give legal or financial advice.
  • Be honest with funders, follow their rules, and don’t misuse xta.
  • These terms follow the laws of Nigeria.

1.About xta and us

xta helps organisations keep what they know about themselves in one place and use it to apply for funding: grants, prizes, fellowships, accelerators, investment and loans. It drafts answers from your own information and remembers the answers your team approves.

xta is run by LetsChop. When these terms say “we”, “us” or “our”, they mean LetsChop. “You” means the person using xta and, where you use it for an organisation, that organisation too.

2.Agreeing to these terms

By creating an account, joining a workspace or otherwise using xta, you agree to these terms and to our Privacy Policy. If you don't agree, please don't use xta.

If you use xta for an organisation, you confirm that you are allowed to accept these terms on its behalf.

3.Who can use xta

You must be at least 18 years old. xta is built for work: you use it for an organisation, a project or your own business, not as a consumer service.

4.Your account and workspace

  • Give us accurate details, and keep them up to date.
  • Keep your password safe and don’t share your login. You are responsible for what happens under your account. Tell us straight away if you think someone else has used it.
  • The person who creates a workspace is its owner. Owners and admins decide who joins, what role each person has and who is removed. They can see and change the workspace’s content.
  • If you invite people, make sure they should have access. You are responsible for how your team uses the workspace.
  • If you are removed from a workspace, you lose access to its content. Your account and your other workspaces are not affected.

5.Your content

Everything you put into xta stays yours: your company profile, products, storylines, timeline, funding opportunities, applications, answers, files and comments. We don't claim ownership of any of it.

You give us permission to store, copy, process and display your content only as needed to run xta for you: for example, to save it, show it to your team, send it to an AI model to draft an answer, and back it up. This permission ends when your content is deleted, apart from copies in backups that expire on their own.

You promise that:

  • you have the right to upload what you upload, including other people’s information (such as team bios) and documents written by others;
  • your content doesn’t break the law or anyone else’s rights; and
  • what you tell funders through xta is true and not misleading.

6.AI drafts are a starting point

xta uses AI models to suggest answers, score how well an opportunity fits you and read application forms. AI can get things wrong: it can miss details, misread a question or state something that isn't true.

You are responsible for checking every answer before you use it. xta shows where each claim came from to make this easier, but the final application, and everything in it, is yours.

Some funders have rules about AI-assisted applications, such as asking you to say you used AI, or not allowing it at all. Read and follow each funder's rules.

7.No promise of funding

xta helps you prepare applications. We are not a funder, an investor, a broker or a fundraising platform, and we don't take a share of any funding you raise.

  • We don’t promise that any application will succeed.
  • Information about funding opportunities, deadlines and amounts can be out of date or wrong. Always confirm it with the funder.
  • Nothing in xta is legal, financial, tax or investment advice. Get professional advice before you sign a funding agreement, give away equity or take on debt.

8.Acceptable use

Don't use xta to:

  • break the law, or help anyone else break it;
  • commit fraud, or mislead funders, for example by inventing results, people or partners;
  • upload content you have no right to share, or that is harmful, abusive or illegal;
  • try to get into other people’s workspaces or accounts, or get around our security or usage limits;
  • overload, disrupt or attack the service, or use bots to scrape it;
  • copy, resell or rebuild xta, or reverse-engineer it, except where the law allows; or
  • build a competing product from xta’s output.

9.Plans, payment and limits

xta has a free plan and paid plans. Each plan has its own features and limits, such as the number of AI-drafted answers each month, products and team members. Current prices and limits are on our pricing page.

  • Paid plans are billed in advance for each billing period. Our payment provider handles your card details; we never see your full card number.
  • We may change prices. We will tell you at least 30 days before a change affects you, and you can cancel before it does.
  • You can cancel at any time. Cancelling stops future payments.
  • Payments are not refundable, except where the law says otherwise or we agree to a refund.
  • Unused monthly allowances, such as AI-drafted answers, don’t carry over to the next month.

10.Memory and shared insights

When your team approves an answer, xta can save what it learned to your workspace's memory, after a person reviews it. That memory belongs to your workspace and is only used for your own applications. It is never shown to other organisations.

We may offer optional insights built from many organisations, such as which kinds of funders suit which kinds of organisations. These only use information from organisations that choose to take part, and only in an anonymous, combined form that can't identify you or reveal your content. This is off unless your workspace turns it on.

11.Changes and availability

We are always improving xta, so features may change, and we may add or remove some. If we remove something important to a paid plan, we will tell you first.

We work hard to keep xta running and your data safe, but we can't promise it will always be available or free of errors. Keep your own copies of important work, especially final applications.

If we ever decide to close xta, we will give you at least 30 days' notice and a way to download your content.

12.Suspension and closing your account

You can stop using xta at any time. To close your account or delete a workspace, email us at [email protected]. Only a workspace's owner can ask us to delete it.

We may suspend or close an account or workspace if:

  • it breaks these terms or the law;
  • it puts xta, our users or anyone else at risk;
  • a paid plan isn’t paid; or
  • we are required to by law.

Where we reasonably can, we will warn you first and give you a chance to fix the problem or download your content. Sections 5, 13 and 14 still apply after your account closes.

13.Our liability

xta is provided “as is”. As far as the law allows, we don't give promises about it beyond those in these terms.

As far as the law allows:

  • we are not responsible for indirect losses, such as lost profits, lost funding, lost opportunities or lost data;
  • we are not responsible for decisions funders make, or for what you submit to them; and
  • our total responsibility to you for any claim is limited to the greater of what you paid us in the 12 months before the claim and 100 US dollars.

Nothing in these terms limits responsibility that the law doesn't allow us to limit, such as for fraud.

If someone makes a claim against us because of your content, or because you broke these terms or the law, you agree to cover our reasonable costs of dealing with it.

14.Governing law and disputes

These terms are governed by the laws of the Federal Republic of Nigeria. If something goes wrong, please talk to us first at [email protected]: most problems can be fixed quickly.

If we can't resolve a dispute within 30 days, it will be decided by the courts of Lagos State, Nigeria. If the law where you live gives you rights that can't be taken away by a contract, these terms don't affect them.

15.Changes to these terms

We may update these terms as xta grows. The date at the top shows when they last changed. If a change is significant, we will tell you by email or in xta before it takes effect. If you keep using xta after that, you accept the new terms. If you don't, you can close your account.
